Terms of Service

1. Who we are

VerifiedUK is a service operated by Limely Ltd (Company Number 08730008), a company registered in England and Wales. In these terms, “we”, “us” and “our” refer to Limely Ltd. “You” means the individual or organisation that subscribes to VerifiedUK.

2. What we do

VerifiedUK provides a certification service that confirms:

  • Your business is an active UK Limited company on the UK register.
  • All directors on file at Companies House are UK-resident.

On payment of a valid subscription and successful verification, we issue you a certificate and an embeddable seal you may display on the domain you have proved you control.

We do not certify the quality, safety, or lawfulness of any product, service, or content offered by your business. Our certification is limited to the identity checks described above.

3. Eligibility

To be eligible for VerifiedUK certification, you must:

  • Represent a UK Limited company that is active on the UK register.
  • Confirm that all directors of that company are UK-resident (residency defined by UK tax residency, not nationality, place of birth, or ethnicity).
  • Own or operate the website on which the seal will be displayed.
  • Be over 18 years old and have authority to enter into these terms on behalf of the company.

4. Fees and billing

Subscription fees are as displayed on the pricing page at the time of signup. Payment is taken by Stripe. Monthly plans renew monthly. Annual plans renew annually and are billed in advance at a 10% discount vs. the equivalent monthly rate.

You may cancel at any time via the Stripe customer portal. On cancellation, your subscription remains active until the end of the current billing period, after which the seal is automatically revoked.

We may change our fees on 30 days’ notice. Changes will not apply to any billing period already paid for.

5. Revocation

We re-check your company’s status against the UK register automatically. Your certificate may be revoked at any time, same-day, if:

  • Your company is dissolved, struck off, or enters insolvency proceedings.
  • A director on file ceases to be UK-resident.
  • You breach these terms, including using the seal in ways not permitted below.

Revocation does not entitle you to a refund of any part of the current billing period.

6. Permitted use of the seal

You may:

  • Display the seal on the domain associated with your subscription, for the duration your subscription is active.
  • Link to your live certificate page hosted by VerifiedUK.

You may not:

  • Display the seal on any domain other than the one covered by your subscription. Each site requires its own subscription.
  • Modify the seal image or misrepresent what it certifies.
  • Continue to display the seal after your subscription lapses or is revoked.
  • Imply that VerifiedUK endorses your goods or services.

7. Refunds

If you cancel within 14 days of your first payment, we’ll refund that payment in full. After 14 days, cancellations stop future charges but no partial refund of the current period is given.

8. Warranties and liability

VerifiedUK certifies identity at a point in time. We do not warrant that any certified business will remain trustworthy, solvent, or lawful in future. To the fullest extent permitted by law, our liability to you for any claim arising from the service is capped at the total fees paid in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law.

9. Termination

Either party may terminate this agreement at any time. On termination, your certificate is revoked and you must remove the seal from your website.

10. Governing law

These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
